USER TERMS AND CONDITIONS

These terms and conditions ("Terms") describe the terms under which Scribble Data Private Limited ("Scribble Data", "Us", "We", "Our") provides to Users who create an account with Us ("You", "Your"), access and use of Scribble Enrich, Scribble Hasper, Carver Agents and Carver ELI ("Scribble Products").

By accessing and/or using Scribble Products, (a) You agree to be bound by these Terms and acknowledge having read the privacy policy located at https://carveragents.ai/privacy-policy or the applicable privacy policy URL for the specific product ("Privacy Policy"). (b) You warrant to Us that You have the legal capacity to enter into these Terms.

You and Us are individually referred to as "Party" and collectively as "Parties".

Public Services: Use of Carver ELI and of Our public websites, Model Context Protocol (MCP) servers and other programmatic interfaces without an account under a License and Hosted Services Agreement or applicable Service Agreement (the "Public Services") is governed by the Carver Public Services Terms at https://www.carveragents.ai/public-services-terms. Clauses 2.4, 2.5, 3.4, 3.5 and 6.4 to 6.9 of these Terms apply to all use of Scribble Products, including the Public Services.

ELIGIBILITY REQUIREMENTS

Age and Capacity Requirements:

Scribble Products are designed exclusively for business and professional use by individuals who meet the following requirements:

(a) You are of legal age to enter into binding contracts in your jurisdiction (at least 18 years of age, or the age of majority in your jurisdiction, whichever is greater);

(b) You are accessing and using Scribble Products in a professional or business capacity;

(c) You have the legal authority to bind your organization to these Terms;

(d) You are not accessing Scribble Products for personal, family, or household purposes.

Prohibited Use by Minors:

If You do not meet the minimum age requirements in your jurisdiction, You are prohibited from creating an account or using Scribble Products. By creating an account and using Scribble Products, You represent and warrant that You meet all eligibility requirements set forth above.

Verification:

We reserve the right to verify Your age and professional status at any time. If We discover that You do not meet the eligibility requirements, We may immediately suspend or terminate Your account without notice.

Customer Responsibility: Enterprise customers who provide access to Scribble Products to their employees or authorized users are responsible for ensuring all users meet these eligibility requirements and comply with applicable data protection laws in their jurisdictions.

1. GRANT OF LICENSE

In furtherance to the Customer being granted a license or subscription to Scribble Products in accordance with the License and Hosted Services Agreement or applicable Service Agreement (including SaaS Agreements), a limited, non-transferable and non-sublicensable license to use and access Scribble Products under the Customer System or through SaaS deployment is extended to You, as the Customer's User, for the Customer's internal business purposes, solely during the Term (defined below), in accordance with these Terms. You and the Customer shall be, jointly and severally, liable for any breach of these Terms.

2. LICENSE RESTRICTIONS

2.1 Acceptable Use: You agree not to:

(a) distribute, license, sublicense, sell, resell, rent, lease, transfer, assign, distribute, time share or otherwise commercially exploit or make Scribble Products available to any third party;

(b) modify, adapt, decompile, disassemble, reverse engineer or hack Scribble Products or attempt to reconstruct or discover any source code, underlying ideas, algorithms or otherwise attempt to gain or gain unauthorized access to Scribble Products or related systems or networks;

(c) alter, remove any product identification, proprietary, copyright trademark, service mark, or other notices contained in Scribble Products;

(d) use Scribble Products to develop a product that is functionally compatible with or competitive to Scribble Products or other products/services offered by Us that can function independently of Scribble Products;

(e) transmit through Scribble Products any material that contains software viruses or any other computer codes, files programs designed to interrupt, destroy or limit the functionality of any computer software or hardware;

(f) use Scribble Products to store or transmit any content that infringes upon any person's intellectual property or proprietary rights, violates applicable law, including privacy and data protection laws worldwide, is racist, hateful, abusive, libelous, obscene, or discriminatory;

(g) use any output of Scribble Products to train, fine-tune or distill any artificial intelligence or machine learning model, or to build a dataset of obligations, without Our prior written consent;

(h) use Scribble Products to monitor their availability, performance or functionality, or for any benchmarking or competitive purpose; or

(i) circumvent any usage limit, rate limit or access control, or access Scribble Products in a way that avoids a contractual usage limit.

2.2 User Registration: If You choose or are provided with a user identification code, login, password or any other piece of information as a part of security procedures for access to Scribble Products, You shall not disclose it to any third party. We have the right to disable Your identification code or password, whether chosen by You or allocated by Us to You, at any time, if in Our reasonable opinion, You have failed to comply with any of the provisions under these Terms. We will not be responsible for any activities, including any attempted or actual access or loss of data occurring under Your account as a result of non-compliance of Your obligations under this clause. All activity carried out using Your login, access keys or tokens, including by any AI agent or software You authorize, is deemed to be carried out by You. If You believe Your credentials have been lost, stolen or compromised, You must notify Us promptly at legal@carveragents.ai and stop the affected access.

2.3 Third-Party Access: You shall be responsible for the acts or omissions of an individual or third-party to whom You permit access to Scribble Products through Your login ID or with whom You share any data of the Customer.

2.4 Third-Party Applications and AI Assistants: You may access Scribble Products through third-party applications, AI assistants or agent frameworks, for example through Our Model Context Protocol (MCP) servers. You are responsible for Your own accounts with those providers, for any fees they charge, and for complying with their terms and acceptable use policies. We make no representation about any third-party application, cannot guarantee that it will remain available or compatible, and are not responsible for its functionality or results. Where Scribble Products are powered by third-party AI models, You must also comply with any acceptable use policy of those providers that We notify to You. If You connect a third-party application, You permit Us to exchange with it the information needed for it to work with Scribble Products.

2.5 Export Control and Sanctions: Scribble Products may be subject to the export control and sanctions laws of India, the United States, the European Union, the United Kingdom and other jurisdictions. You represent that neither You nor Your organization is named on, or owned or controlled by a person named on, any applicable sanctions or denied-party list. You will not access or use Scribble Products from, or make them available to any person in, a country or region subject to comprehensive sanctions or embargo, or otherwise in breach of those laws.

3. INTELLECTUAL PROPERTY RIGHTS

3.1 Ownership: We own and retain all Intellectual Property Rights in and to Scribble Products, including the Scribble Products Software, Scribble Products Tools, any Documentation. You acknowledge and agree that We are free to use all ideas, know-how, approaches, methodologies, concepts, skills, tools, techniques, expressions, and processes, irrespective of whether possessed by Us prior to these Terms, or acquired, developed, or refined by Us, in an unaided and unintentional manner, during development of the Work Products by Us.

3.2 Feedback: If You choose to provide Us any suggestions, recommendations or other feedback about Scribble Products ("Feedback"), We shall have a royalty-free, worldwide, transferable, sub-licensable, irrevocable and perpetual license to incorporate into Scribble Products or otherwise use any such Feedback.

3.3 Limited License: You acknowledge that You are obtaining only a limited license to use and access Scribble Products and that no right, title or interest is being conveyed to You under these Terms. All rights not expressly provided to You herein are reserved by Us.

3.4 Inputs and Outputs: As between You and Us, You retain Your rights in the descriptions, documents, queries and other information You submit to Scribble Products ("Inputs"). You grant Us a non-exclusive, worldwide, royalty-free licence to host, process and analyze Inputs to provide, support, secure and improve Scribble Products, subject to Our Privacy Policy and, for Customer Data, the License and Hosted Services Agreement. Subject to these Terms, You may use the results that Scribble Products generate from Your Inputs ("Outputs") for the Customer's internal business purposes and may include them in Your own documents. We and Our licensors retain all rights in Scribble Products and in the obligation mappings, ontologies, knowledge graphs, methodologies and other content embedded in or underlying any Output. When You share an Output, or a document based on it, outside Your organization, You must not remove or obscure the notices that accompany it, including the statement that it is not legal advice, and You should state that it is based in part on Carver.

3.5 Usage Data: We may collect, record and use data about the configuration of, access to and use of Scribble Products, including telemetry, queries, technical logs, device and browser information, feature usage and performance data ("Usage Data"), to operate, secure, support and improve Scribble Products and to develop new products and services. We will not disclose Usage Data that identifies You or the Customer to third parties, other than Our service providers, except as permitted under clause 5 or in aggregated or de-identified form.

4. TERM, TERMINATION AND SUSPENSION

4.1 Term: The term of the license granted to You under these Terms shall be co-terminus with the License and Hosted Services Agreement or applicable Service Agreement entered into by the Customer ("Term").

4.2 Termination and Suspension by Us: We may suspend and/or terminate Your access to Scribble Products if (a) You materially breach these Terms; (b) We are required to comply with applicable laws worldwide or a legal process; (c) We reasonably believe that Your use of Scribble Products causes harm or liability to Us, another User, or any third-party; or (d) We discover that You do not meet the eligibility requirements set forth in these Terms, including age or capacity requirements under applicable laws.

4.3 Termination by Customer: You acknowledge that the Customer will have the right to terminate Your User account at any time.

5. CONFIDENTIALITY AND DATA PRIVACY

5.1 Confidentiality Obligations: You will protect Our Confidential Information from unauthorized use, access or disclosure in the same manner as You protect Your own Confidential Information, and in any event, You shall not use less than industry standard technical and organizational safeguards designed to protect Our Confidential Information. Except as otherwise expressly permitted pursuant to these Terms, You may use Our Confidential Information solely to exercise Your respective rights and perform Your respective obligations under these Terms and shall disclose such Confidential Information solely to those Users, employees, representatives and agents who have a need to know such Confidential Information for such purposes and who are bound to maintain the confidentiality of, and not misuse, such Confidential Information.

5.2 Data Privacy Compliance: When You use or access Scribble Products, We shall Process Your Personal Data in accordance with these Terms, Our Privacy Policy, and applicable data protection laws in Your jurisdiction, including but not limited to:

• General Data Protection Regulation (GDPR) for individuals in the European Economic Area, United Kingdom, and Switzerland;

• California Consumer Privacy Act (CCPA) and California Privacy Rights Act (CPRA) for California residents;

• Digital Personal Data Protection Act (DPDP Act), 2023 for individuals in India;

• Other applicable privacy and data protection laws in Your jurisdiction.

5.3 Data Processing Roles: Except to the extent and for purposes specifically set forth in the Privacy Policy:

(a) For Personal Data collected directly from You as described in Our Privacy Policy (such as account information, contact details, and usage data), We act as a Data Controller/Data Fiduciary (depending on applicable law);

(b) For Customer Data processed through Scribble Products, We process such data only on the Customer's behalf as a Data Processor (depending on applicable law), and the Customer acts as the Data Controller/Data Fiduciary;

(c) You acknowledge that for any questions or requests regarding Customer Data, You should contact the Customer directly, as they are responsible for such data under applicable law.

5.4 Customer Responsibilities: Scribble Data is not responsible for the Customer's privacy or security practices which may differ from Our Privacy Policy. The Customer is solely responsible for:

(a) Establishing policies and ensuring compliance with all applicable laws and regulations worldwide, including data protection and privacy laws in their jurisdiction;

(b) Ensuring all Users, including You, meet age and eligibility requirements under applicable laws;

(c) Obtaining necessary consents from data subjects as required by applicable law;

(d) Implementing appropriate privacy policies, agreements and obligations relating to collection and transmission of Personal Data through Scribble Products.

5.5 Your Privacy Rights: As a data subject under applicable privacy laws, You have rights regarding Your Personal Data that We process. These rights vary depending on Your jurisdiction and may include:

(a) Right to access and obtain copies of Your Personal Data;

(b) Right to rectification of inaccurate or incomplete data;

(c) Right to erasure or deletion (subject to legal retention requirements);

(d) Right to restrict or object to processing;

(e) Right to data portability (where applicable);

(f) Right to withdraw consent;

(g) Right to lodge a complaint with supervisory authorities;

(h) Other rights as provided under applicable data protection laws in Your jurisdiction.

To exercise these rights, contact Our Privacy Officer at legal@carveragents.ai. We will respond within the timelines mandated by applicable law in Your jurisdiction.

5.6 Legal Disclosure: You acknowledge and agree that We and Our group companies may access or disclose information about You (a) in order to comply with applicable law worldwide or respond to lawful requests or legal process; or (b) to professional advisors to prevent any infringement of group companies' or Our customers' proprietary rights. Further, at Our sole discretion, any suspected fraudulent, abusive, or illegal activity by You may be referred to appropriate law enforcement authorities.

6. DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY

6.1 As-Is Basis: SCRIBBLE PRODUCTS, INCLUDING ALL COMPONENTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. ALL EXPRESS OR IMPLIED REPRESENTATIONS AND WARRANTIES, INCLUDING ANY IMPLIED WARRANTY OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING, USAGE OR TRADE PRACTICE, ARE HEREBY EXCLUDED TO THE EXTENT PERMITTED BY APPLICABLE LAW. WITHOUT LIMITING THE FOREGOING, WE MAKE NO WARRANTY OF ANY KIND THAT SCRIBBLE PRODUCTS, ANY CONTENT, DOCUMENTATION OR OUTPUT, OR THE RESULTS OF USING THEM, WILL (A) MEET YOUR OR ANY OTHER PERSON'S REQUIREMENTS; (B) OPERATE WITHOUT INTERRUPTION; (C) ACHIEVE ANY INTENDED RESULT; (D) BE ERROR-FREE, COMPLETE, CURRENT OR ACCURATE; OR (E) BE COMPATIBLE, OR CONTINUE TO WORK, WITH ANY THIRD-PARTY APPLICATION.

6.2 Waiver of Individual Claims: YOU ACKNOWLEDGE THAT ANY LEGAL PROCEEDINGS INSTITUTED IN CONNECTION WITH SCRIBBLE PRODUCTS, INCLUDING YOUR USE OF SCRIBBLE PRODUCTS, SHALL BE INSTITUTED BY THE CUSTOMER ON YOUR BEHALF IN ACCORDANCE WITH THE LICENSE AND HOSTED SERVICES AGREEMENT OR APPLICABLE SERVICE AGREEMENT. YOU HEREBY WAIVE THE RIGHT TO INDIVIDUALLY INSTITUTE ANY LEGAL PROCEEDINGS AGAINST SCRIBBLE DATA IN CONNECTION WITH SCRIBBLE PRODUCTS, TO THE EXTENT PERMITTED BY APPLICABLE LAW.

6.3 Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE, OUR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS OR LICENSORS SHALL NOT BE LIABLE TO YOU OR ANY OTHER PERSON FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, COVER OR CONSEQUENTIAL DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOST PROFITS, LOST REVENUE, LOST SALES, LOST GOODWILL, LOSS OF USE OR LOST CONTENT, IMPACT ON BUSINESS, BUSINESS INTERRUPTION, LOSS OF ANTICIPATED SAVINGS, LOSS OF BUSINESS OPPORTUNITY) HOWEVER CAUSED, UNDER ANY THEORY OF LIABILITY, INCLUDING, WITHOUT LIMITATION, CONTRACT, TORT, WARRANTY, BREACH OF STATUTORY DUTY, NEGLIGENCE OR OTHERWISE EVEN IF WE HAVE BEEN ADVISED AS TO THE POSSIBILITY OF SUCH DAMAGES OR COULD HAVE FORESEEN SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR AGGREGATE LIABILITY AND THAT OF OUR AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS AND LICENSORS, RELATING TO THESE TERMS, WILL BE LIMITED TO AN AMOUNT EQUAL TO USD 100.

6.4 Not Legal Advice: SCRIBBLE PRODUCTS, INCLUDING CARVER AGENTS AND CARVER ELI, ARE BEST-EFFORT, AUTOMATED SERVICES WITH LIMITATIONS OF COVERAGE, TIMING, INTERPRETATION AND ACCURACY. THEY DO NOT PROVIDE LEGAL ADVICE. UNDER NO CIRCUMSTANCES SHOULD YOU TREAT ANY OUTPUT OF SCRIBBLE PRODUCTS AS LEGAL ADVICE, OR RELY ON IT IN PLACE OF ADVICE FROM A QUALIFIED LAWYER IN YOUR JURISDICTION. USE OF SCRIBBLE PRODUCTS DOES NOT CREATE A LAWYER-CLIENT RELATIONSHIP. SCRIBBLE DATA IS NOT A LAW FIRM, INSURER, INSURANCE BROKER OR INSURANCE INTERMEDIARY, AND DOES NOT GIVE INSURANCE ADVICE. SCRIBBLE DATA IS NOT A LEGAL SERVICE PROVIDER, TAX ADVISER OR REGULATORY CONSULTANT, AND DOES NOT PROVIDE LEGAL, TAX, ACCOUNTING, REGULATORY OR COMPLIANCE ADVICE. NOTHING IN ANY COMMUNICATION FROM US, INCLUDING DEMONSTRATIONS, SUPPORT, DOCUMENTATION AND SALES OR MARKETING MATERIALS, IS SUCH ADVICE, WHATEVER ITS FORM OR CONTEXT. YOU ARE SOLELY RESPONSIBLE FOR ENSURING THAT YOUR ACTIVITIES, PRODUCTS AND AI AGENTS COMPLY WITH ALL APPLICABLE LAWS.

6.5 No Guarantee of Outputs: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE GIVE NO WARRANTY OR GUARANTEE OF ANY KIND, FOR ANY REASON, THAT ANY OUTPUT OF SCRIBBLE PRODUCTS IS ACCURATE, COMPLETE, CURRENT OR FIT FOR ANY PURPOSE. THIS INCLUDES ANY IDENTIFICATION OF LAWS, REGULATIONS OR OBLIGATIONS; ANY ASSESSMENT OF APPLICABILITY, COMPLIANCE, RISK, EXPOSURE, LIABILITY OR INSURABILITY; AND ANY CITATION, SUMMARY, COUNT OR ESTIMATE. WE GIVE NO GUARANTEE THAT ANY LAW OR OBLIGATION DOES OR DOES NOT APPLY TO YOU. ANY RESPONSE TIME, PROCESSING TIME OR OTHER ESTIMATE WE PROVIDE IS A TARGET ONLY AND NOT A COMMITMENT. NO STATEMENT IN ANY DOCUMENTATION, WEBSITE, USER INTERFACE, MCP RESPONSE, MARKETING MATERIAL OR OTHER COMMUNICATION CREATES A WARRANTY OR GUARANTEE.

6.6 Third Parties: Where Scribble Products offer introductions to lawyers, insurers, insurance intermediaries or other third parties, those third parties are independent of Scribble Data. We do not endorse, supervise or guarantee them or their services, and We are not responsible for their advice, products, fees, availability or conduct. Your dealings with them are solely between You and them.

6.7 AI-Generated Outputs and Third-Party Agents: Scribble Products use artificial intelligence, including large language models provided by third parties. Outputs may contain errors, omissions, inaccuracies or fabricated content (sometimes called hallucinations), and the same Input may produce different Outputs at different times. Outputs must not be the sole basis for any legal, compliance, financial, insurance or other material decision. You are responsible for independently verifying any Output, and for having it reviewed by a qualified professional, before relying on it or presenting it to any third party, including customers, regulators, insurers, investors or boards. Where You present Outputs to a third party, You must disclose that they were generated with the help of artificial intelligence. We do not control, and are not responsible for, how any third-party AI agent, assistant or application retrieves, interprets, modifies, summarizes or presents Outputs from Our MCP servers. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE HAVE NO LIABILITY ARISING FROM ERRORS, OMISSIONS, INACCURACIES OR HALLUCINATIONS IN OUTPUTS, AND CLAUSE 6.3 APPLIES TO ANY SUCH LIABILITY THAT CANNOT BE EXCLUDED.

6.8 Third-Party and Official Sources: Scribble Products draw on laws, regulations, guidance and other materials published by governments, regulators and other third parties, and on translations and summaries of them. We do not control those sources and do not warrant that they, or Our reproduction, translation or summary of them, are accurate, complete or current. Where there is any difference, the official text published by the relevant authority prevails. Some sources may be subject to additional terms set by their publishers.

6.9 Changes and Future Functionality: We may add, change, suspend or remove any content, jurisdiction, act, obligation, feature or integration at any time. Your purchase or use of Scribble Products is not contingent on the delivery of any future functionality or features, or dependent on any oral or written public comments We make about future functionality or features.

7. INDEMNIFICATION

You shall indemnify and hold harmless Us and Our officers, directors, employees and agents from and against all claims, damages, losses and expenses (including reasonable attorneys' fees) arising out of any third-party claim arising from (a) a breach of Your obligations under these Terms; (b) Your violation of the eligibility requirements, including any misrepresentation regarding Your age, capacity, or professional status; (c) Your use of Scribble Products through any third-party application, AI assistant or agent framework, or the conduct of any AI agent You operate; or (d) Your reliance on, or distribution to any third party of, any Output.

8. MISCELLANEOUS

8.1 Amendments and Modifications: We may amend these Terms from time to time, in which case the new Terms will supersede prior versions. We may, but are not obliged to, notify You of changes to these Terms. We recommend that You keep checking these Terms for any amendments. Your continued use of Scribble Products following the effective date of any such amendment may be relied upon by Us as Your acceptance of any such amendment.

8.2 Assignment: These Terms and any rights or obligations hereunder may not be assigned by You without Our prior written consent. These Terms bind, and inures to the benefit of, the Parties and their respective successors and permitted assigns.

8.3 Entire Agreement: These Terms, together with any Annexures, incorporated by reference into this Terms constitute the entire agreement, and supersede any and all prior agreements between You and Us with regard to the subject matter hereof.

8.4 Force Majeure: Notwithstanding anything to the contrary contained elsewhere, We shall not be liable for failure in Our obligations under these Terms caused by circumstances beyond Our reasonable control, such as, but not limited to, acts of God, acts of government, acts of terror or civil unrest, technical failures beyond Our reasonable control.

8.5 Governing Law and Dispute Resolution: These Terms shall be governed by the laws of India without regard to any conflict of laws principles. However, the Parties agree to comply with applicable data protection and privacy laws in the jurisdiction where the data subject resides. For disputes involving customers and users located outside India, the parties may agree to alternative dispute resolution mechanisms in accordance with the laws of the customer's jurisdiction, while maintaining the fundamental principles set forth in these Terms. Both Parties hereby expressly agree to submit to the primary jurisdiction of the courts at Bangalore, India. Any dispute, claim or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, shall be attempted to be resolved by mediation first, failing which they shall be resolved by final and binding Arbitration in accordance with the Indian Arbitration and Conciliation Act, 1996 and rules thereunder, and shall be conducted by a panel of three (3) arbitrators. Each Party shall appoint an arbitrator and the two arbitrators so appointed shall appoint the third arbitrator in the panel. Judgments upon the final decisions rendered by the arbitrator may be entered in any court of competent jurisdiction. The seat and venue of arbitration shall be Bangalore, India. The decision of the arbitration panel shall be final and binding on the Parties.

8.6 Notices and Consent to Electronic Communications: Notices will be in writing and will be delivered personally (which will include delivery by courier or reputable overnight delivery service) or sent by certified mail return receipt requested or by email, to the address provided by You at the time of registration or creation of a Scribble Products login. Items delivered personally will be deemed delivered on the date of actual delivery. Items sent by certified mail will be deemed delivered on the date the return receipt is signed. Items delivered by email will be deemed delivered on the first business day after sending the email. A Party may change its contact information by a written notice delivered in accordance with this clause.

8.7 Relationship of the Parties: The Parties are independent contractors. These Terms do not create a partnership, franchise, joint venture, agency, fiduciary or employment relationship among the Parties.

8.8 Severability; No Waiver: If any provision in these Terms is held by a court of competent jurisdiction to be unenforceable, such provision shall be modified by the court and interpreted so as to best accomplish the original provision to the fullest extent permitted by applicable law, and the remaining provisions of these Terms shall remain in effect. Our non-exercise of any right under or provision of these Terms does not constitute a waiver of that right or provision of these Terms.

8.9 Survival: All clauses which, by their nature are intended to survive, including without limitation Eligibility Requirements, Clauses 3 (Intellectual Property Rights), 4 (Term, Termination and Suspension), 5 (Confidentiality and Data Privacy), 6 (Disclaimer of Warranties and Limitation of Liability), 7 (Indemnification), 8 (Miscellaneous) and 9 (Definitions) shall survive any termination or expiration of these Terms.

8.10 Construction: Headings are for convenience only and do not affect interpretation. The words "include" and "including" mean "including without limitation".

8.11 No Third-Party Beneficiaries: Nothing in these Terms confers any right or remedy on any person other than the Parties.

9. DEFINITIONS

When used in these Terms with the initial letters capitalized, in addition to terms defined elsewhere in these Terms, the following terms have the following meanings:

Affiliate: means, with respect to a Party, any entity that directly or indirectly controls, is controlled by, or is under common control with such Party, whereby "control" (including, with correlative meaning, the terms "controlled by" and "under common control") means the possession, directly or indirectly, of the power to direct, or cause the direction of the management and policies of such person, whether through the ownership of voting securities, by contract, or otherwise.

Carver Agents: means a proprietary data platform of Scribble Data and any updates, modifications or improvements to Carver Agents, including individually and collectively Carver Agents Software, Design Specifications, Carver Agents Software Tools and any Documentation.

Carver Agents Software: means any software provided by Us (either by download or access through the internet) that allows the Customer to use any functionality in connection with Carver Agents and/or any software embedded in Carver Agents.

Carver Agents Software Tools: means the programmatic interfaces and Source Code that Scribble has written, licensed or otherwise legally acquired from third parties.

Carver ELI: means Carver Executable Legal Infrastructure, a service of Scribble Data that maps descriptions of AI agents and other systems to regulatory obligations, together with its websites, Model Context Protocol servers and other programmatic interfaces, tools, reports and other outputs, and any updates, modifications or improvements to it.

Confidential Information: means all information disclosed by Us to You which is in tangible form and labeled "confidential" (or with a similar legend) or which a reasonable person would understand to be confidential given the nature of the information and circumstances of disclosure. For purposes of these Terms, Scribble Products data shall be deemed Confidential Information. Notwithstanding the foregoing, Confidential Information shall not include any information which (a) was publicly known and made generally available in the public domain prior to the time of disclosure by You; (b) becomes publicly known and made generally available after disclosure by Us to You through no action or inaction of You; (c) is already in Your possession at the time of disclosure by Us as shown by the Your files and records prior to the time of disclosure; (d) is obtained by the You from a third party without a breach of such third party's obligations of confidentiality; (e) is independently developed by You without use of or reference to Our Confidential Information, as shown by documents and other competent evidence in the Your possession; or (f) is required by law to be disclosed by You, provided that the You shall, to the extent legally permitted, give Us written notice of such requirement prior to disclosing so that the We may seek a protective order or other appropriate relief.

Customer: means the entity that enters into the License and Hosted Services Agreement or applicable Service Agreement with Us and on whose behalf You are provided access to Scribble Products.

Customer System: means the system proprietary to the Customer that is used to power Customer's data related activities and in conjunction with which Scribble Products are used, or in the case of SaaS deployments, the cloud-based system provided by Scribble Data.

Design Specification(s): means that part of the Customer System's creative design, operating features, interface, performance characteristics and capabilities based on Scribble Products that is developed by Us, from time to time if it may, unless otherwise specified in these Terms and shall include without limitation, all discussions, notes, ideas and concepts relating thereto.

Documentation: means any written or electronic documentation, images, video, text or sounds specifying the functionalities of Scribble Products provided or made available by Us to Customer or Customer's Users through Scribble Products or otherwise.

Inputs: has the meaning given in clause 3.4.

Intellectual Property Rights: means all rights and title in and to any patents, patent rights, design rights, copyrights, database rights, trade secrets, know-how, trademarks, trade names, service marks and other intellectual property embodied in the foregoing, and all applications and rights to apply for registration or protection rights pertaining thereto, in existence at the date hereof or created in the future.

License and Hosted Services Agreement: means the agreement entered into between Us and the Customer, including SaaS Agreements and other Service Agreements.

Outputs: has the meaning given in clause 3.4.

Personal Data: means any information relating to an identified or identifiable natural person; an identifiable natural person is one who can be identified, directly or indirectly, in particular by reference to an identifier such as a name, an identification number, location data, an online identifier or to one or more factors specific to the physical, physiological, genetic, mental, economic, cultural or social identity of that natural person. The exact definition may vary based on applicable data protection law in Your jurisdiction.

Process(ing): means any operation or set of operations which is performed on Personal Data or on sets of Personal Data, whether or not by automated means, such as collection, recording, organisation, structuring, storage, adaptation or alteration, retrieval, consultation, use, disclosure by transmission, dissemination or otherwise making available, alignment or combination, restriction, erasure or destruction.

Public Services: has the meaning given in the section of these Terms headed Public Services.

Scribble Enrich: means a proprietary data platform of Scribble Data and any updates, modifications or improvements to Scribble Enrich, including individually and collectively Scribble Enrich Software, Design Specifications, Scribble Enrich Software Tools and any Documentation.

Scribble Enrich Software: means any software provided by Us (either by download or access through the internet) that allows the Customer to use any functionality in connection with Scribble Enrich and/or any software embedded in Scribble Enrich.

Scribble Enrich Software Tools: means the programmatic interfaces and Source Code that Scribble has written, licensed or otherwise legally acquired from third parties.

Scribble Hasper: means a proprietary data platform of Scribble Data and any updates, modifications or improvements to Scribble Hasper, including individually and collectively Scribble Hasper Software, Design Specifications, Scribble Hasper Software Tools and any Documentation.

Scribble Hasper Software: means any software provided by Us (either by download or access through the internet) that allows the Customer to use any functionality in connection with Scribble Hasper and/or any software embedded in Scribble Hasper.

Scribble Hasper Software Tools: means the programmatic interfaces and Source Code that Scribble has written, licensed or otherwise legally acquired from third parties.

Usage Data: has the meaning given in clause 3.5.

User: means those who are designated users of a Customer within Scribble Products, including an account administrator, agents and other designated users.

Work Products: means the work products to be developed for the Customer by Us pursuant to the License and Hosted Services Agreement or applicable Service Agreement.
